LETTER OF ENGAGEMENT AND FEES AGREEMENT

Thank you for choosing Global Gateway Advisors and for the opportunity to offer you our Background Screening Services. This agreement outlines the services to be provided by Global Gateway Advisors Pte Ltd (“Global Gateway Advisors”) to you (the “Client”), along with the terms and conditions governing our engagement. By choosing to work with Global Gateway Advisors, you acknowledge and agree to the terms set forth below.

1. Scope of Services
The scope of services and associated fees are outlined in Appendix A. At the request of Global Gateway Advisors, the Client will provide the necessary information for academic verification of the Employment Pass (EP) applicant(s) (hereafter referred to as “Candidate(s)”). The Client may cancel screening requests submitted to Global Gateway Advisors at their discretion. All cancellation requests must be made in writing and sent via email to cs.verification@global-gw.com. Once received, cancellations will be processed based on the following terms:
• Cancellation before submission of the Letter of Authorization (LOA): Full refund of the package fee
• Cancellation after submission of the Letter of Authorization (LOA): Full package fee will be charged
Any external costs (including credit card processing fees) incurred during the refund process will be the responsibility of the Client. Global Gateway Advisors will make every effort to collect the information outlined in Annex A to complete each background verification case.

2. Confidentiality
Global Gateway Advisors warrants that it is currently in compliance with and will continue to comply with its obligations under Data Protection Legislation in so far as it relates to or is connected with its provision of services under this Agreement. Global Gateway Advisors warrants that:
• It shall only process Personal Data relating to the Subject in accordance with its obligations under relevant Data Protection Legislation;
• It has appropriate technical and organisational measures in place to protect Personal Data relating to the Subject against unauthorised or unlawful processing and against accidental loss, destruction or damage; and
• It may transfer a Subject’s Personal Data to a country or territory outside of Singapore and/or the location in which the Subject is located, where that country or territory has data protection obligations equivalent to those set out in relevant Data Protection Legislation, Global Gateway Advisors has implemented an approved transfer process under the Data Protection Legislation or is permitted to do so under the Data Protection Legislation or the Subject has otherwise consented.
Upon the termination of this Agreement, all Personal Data shall be destroyed, except to the extent that Global Gateway Advisors is required by the applicable law to retain copies of such Personal Data pursuant to any relevant legislation or order, whether existing at the time of the termination of this Agreement or arising thereafter.
Under a requirement from the Ministry of Manpower in Singapore, Global Gateway Advisors will retain Personal Data (Personal Data provided by the Client in the course of preparing the verification report and the final verification report) for 2 (two) years from the date the final verification report is issued.
Global Gateway Advisors shall promptly notify the Client in the event that:
• There are any material adverse changes in or breaches of the security policies and practices applicable to Global Gateway Advisors which would adversely affect the services provided by Global Gateway Advisors to the Client under this Agreement;
• Any legally binding request for disclosure of a Subject’s Personal Data by a law enforcement authority or regulatory body unless otherwise prohibited; or
• There is any instance of accidental or unauthorised access to or processing of a Subject’s Personal Data.

3. Commercials and Payment Terms
Global Gateway Advisors will invoice the Client for each verification order submitted, based on the fees outlined in Appendix A. 9% GST (Goods and Services Tax) will be applied to all services provided to Singapore clients. Global Gateway Advisors makes every effort to ensure that the candidate reports submitted to the Client are accurate and complete, without missing any important information. However, because some details may come from third-party sources, we cannot guarantee the reports will be free from all errors, omissions, or inaccuracies. Global Gateway Advisors is not responsible for any delays or difficulties in providing services if they are caused by circumstances beyond our control, such as natural disasters, war, riots, labor disputes, accidents, changes in laws, or similar events. If unexpected disruptions happen, each party will do their best and make all efforts to resume services as quickly as possible. This agreement sets out a business relationship between independent parties and should not be interpreted as creating a partnership or joint venture. This Agreement is governed by the laws of Singapore. If any dispute arises relating to this Agreement, including its validity or termination, it will be resolved by arbitration managed by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules, which are incorporated into this Agreement by reference. The arbitration will take place in Singapore, conducted in English, and managed by one (1) arbitrator.

Annex A: Scope of Services and Fees Agreement
The proposed scope of services will include the following:
Screening
1. Authenticity Checks
Educational or professional certifications will primarily be verified using the translated
English graduation certificate, which must be sent directly from the awarding educational institution to Global Gateway Advisors’ designated address, either by registered mail or in a strictly sealed format.
A PDF copy of the translated English graduation certificate will be provided to your Candidate along with the final verification report. Please note that original certificates will not be returned. Currently, our education verification services are available only for awarding educational institutions located in Japan. Any fees charged by professional organizations, universities, or third-party sources will be billed separately, in addition to the package cost. The Client retains discretion over whether these additional checks are required. Please also note that the time taken to obtain necessary information from the Client is not included in the standard turnaround time.
2. Accreditation Checks
Global Gateway Advisors will contact the relevant authorities and conduct requested checks to ascertain if an organization or educational institute has been accredited by the national body or any other relevant authority.
3. Price
Our service fees as follows:
• Standard service: S$109.00 (including GST) / S$100.00 (before GST)
• Express service: S$163.50 (including GST) / S$150.00 (before GST)
Please note that authenticity checks and accreditation checks are not available as separate services under our all-in-one package. Each application covers 1 educational verification.

Important Notes
Any processing fees charged by professional organizations, universities, or third parties must be paid separately by the Candidate or the Employer, and are not included in the Global Gateway Advisors education verification service fee. If any additional charges are expected, Global Gateway Advisors will notify you in advance by email.
If there is a separate agreement signed with Global Gateway Advisors, the terms of that agreement will take precedence over the terms stated here.
By proceeding, you confirm that you have read, understood, and agreed to the above terms and conditions.

（参考日本語訳 – 英語と日本語で解釈に乖離がある場合、英語版が優先されるものとする）

Global Gateway Advisors Pte Ltd（以下、Global Gateway Advisors）に学歴認証サービスをお申込み いただき、誠にありがとうご ざいます。 本契約書は、Global Gateway Advisors がお客様（以下、クライアント）に提供するサービスの概 要を説明し、これ以降に記載されている相互に合意された条件で本契約を締結することについ ての理解を確認するものである。

1. サービスの範囲
サービスの範囲と料金の取り決めは「付録 A」に記載されている。 Global Gateway Advisors の要請により、クライアントは学歴認証を行う EP 取得予定の候補者（以 下、対象者）の必要な詳細を提出する。 キャンセル依頼は書面で行い、cs.verification@global-gw.com 宛にメールにて連絡する必要があ る。正式に受領したすべてのサービスキャンセル依頼は、 下記の条件に基づいて返金処理され ることとする。
– LOA 受領前のキャンセル： パッケージ料金の全額が返金されるものとする
– LOA 受領後のキャンセル： パッケージ料金の全額を請求するものとする
返金処理に伴う外部費用（クレジットカード手数料を含む）はクライアントの負担となる。 Global Gateway Advisors は、各学歴認証サービスを完了させるために、「付録 A」に記載されてい る必要な情報を入手することに、 あらゆる合理的な努力を払うものとする。

2. 守秘義務
Global Gateway Advisors は本契約に基づくサービス提供に関連する限りにおいて、データ保護法 に基づく義務を遵守しており、今後も遵守し続けることを保証するものとする。Global Gateway
Advisors は以下のことを保証する：
・Global Gateway Advisors は、関連するデータ保護法に基づく義務に従ってのみ、対象者に関す る個人データを使用する。
・Global Gateway Advisors は、対象者に関する個人データを不正または違法な処理から保護し、 偶発的な損失、破壊または損傷から保護するために、適切な技術的および組織的措置を講じる こととする。
・Global Gateway Advisors は、シンガポールおよび/または対象者の所在地以外の国または地域に 対象者の個人データを転送することができる。その国または地域において関連するデータ保護 法制に定められたものと同等のデータ保護義務が存在する場合、またはグローバル・ゲートウ ェイ・アドバイザーズがデータ保護法制に基づき承認された移転手続きを実施している場合、 あるいはデータ保護法制に基づき認められている場合、または対象者が同意している場合に限 る。 本契約が終了した場合、すべての個人データは、本契約終了時に存在したか、またはそれ以降 に発生したかに関わらず、関連する法律または命令により、Global Gateway Advisors が当該個人 データのコピーを保持することが適用法で義務付けられている範囲を除き、破棄されるものと する。 シンガポール労働省の要件に基づき、グローバル・ゲートウェイ・アドバイザーズは、最終検 証報告書発行日から 2 年間、個人データ（検証報告書作成過程および最終検証報告書において クライアントから提供された個人データ）を保持する。
Global Gateway Advisors は、以下の場合には速やかにクライアントに通知する:
・本契約に基づき Global Gateway Advisors がクライアントに提供するサービスに悪影響を及ぼす ような、セキュリティ方針および慣行の重大な不利益変更または違反があった場合
・法執行機関または規制機関による、対象者の個人データの開示に関する法的拘束力のある要 求があった場合
・対象者の個人データへの偶発的または不正なアクセスまたは処理が発生した場合

3.支払条件等
Global Gateway Advisors は、提出された証明ごとに、「付録 A」に記載する料金に基づき請求し、 クライアントはこれを支払うも のとする。 シンガポールのクライアントに提供される全てのサービスには 9%の GST（物品サービス税） が 適用される。
Global Gateway Advisors はクライアントに提出する証明書から重要な発見や情報の漏れがないよ う、あらゆる合理的な手段を 講じるものとする。Global Gateway Advisors は、証明書に含まれる 特定の情報が第三者の情報源から取得される可能性があるため、 証明書内の誤り、 エラー、不 正確さについて一切の責任を負わない。 天災地変、戦争、 爆発、サボタージュ、 暴動、内乱、ストライキ、ロックアウト、 労働争議、 事故、因果関係、法律、秩序、規制が原因である場合、 Global Gateway Advisors は本契約に基づ く義務の不履行、不能、遅延について責任を負わないものとする。 このような原因が発生した 場合、 各当事者は、履行を再開するために、十分な配慮とあらゆる 合理的な努力を払うものと する。
この取り決めは、 本契約の両当事者間のパートナーシップまたは 合弁事業として解釈されるも のではなく、 契約当事者間の関係にあるものとする。 本契約はシンガポール法に準拠する。 本契約の存在、有効性、契約の終了に関する事項を含 め、 本契約に起因または関連するあらゆる紛争は、 シンガポール国際仲裁センター （以下、 SIAC） の仲裁規則 （以下、SIAC 規則）に従い、 同センターが管理する仲裁に付託され、最終的 に解決されるものとし、同規則は参照により本条項に組み込まれる ものとする。 仲裁地はシン ガポールとする。 仲裁廷は、 1 名の仲裁人により構成される。 仲裁の言語は英語とする。

付録 A：サービス範囲と料金の取り決め
スコープは以下の通りとする：
1. Authenticity Checks
教育または専門資格の認証は、主に翻訳済みの英語卒業証明書を用いて行われる。当該証明書 は、授与教育機関から直接、書留郵便または厳重に封緘された形式で、Global Gateway Advisors 指定の住所宛に送付される必要がある。 翻訳済みの英語卒業証明書の PDF コピーは、最終認証報告書と共に候補者様へ提供される。 原本の証明書の返却は行わない。 現段階では、学歴認証サービスは日本の教育機関に限定して提供を行う。 専門機関、大学、第三者から請求される手数料は、クライアントが支払いを行う。 これらの必要性については、クライアント の裁量に委ねられる。 また、学歴認証完了まで所要期間として提示されている期間は、卒業証書の原本を含めた全書 類受領から認証までの完了所要期間であり、発注から認証完了までの期間ではない。
2. Accreditation Checks
Global Gateway Advisors は関係当局に連絡し、組織または教育機関が国家機関またはその他の関 係当局から認定を受けているかどうかを確認するため、要求されたチェックを行う。
3. 料金
以下の料金が適用される。 標準サービス料金：SGD109.00 (GST 込)、SGD100.00 (GST 除く) エクスプレスサービス料金：SGD163.50 (GST 込）、SGD150.00 (GST 除く) 上記は 1 つの資格学位の認証料金である。

注意事項
専門機関、大学、第三者から請求される処理手数料は、Global Gateway Advisors の学歴認証サー ビスの料金とは別に、対象者 または雇用主が支払う必要がある。Global Gateway Advisors は、追 加料金が発生する可能性がある場合、事前に E メールにて 通知を行うものとする。 なお、Global Gateway Advisors と締結された他の契約がある場合、その条項が本規約に優先して 適用されるものとする。
